Service Agreement & Conditions

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Canadian Monitoring Services ("CMS Security," "Company," "we," "us," or "our") governing your use of our security monitoring services, equipment, and website.
By signing a service agreement, using our services, or accessing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
CMS Security provides 24/7 professional alarm monitoring services through our network of ULC-certified monitoring centers. Upon receiving an alarm signal, we will attempt to verify the alarm and, if appropriate, dispatch emergency services (police, fire, or medical) to your premises.
We offer security equipment for purchase and professional installation services. Equipment purchased from CMS Security is owned by you. We do not require equipment rental or leasing arrangements.
You understand that no security system can guarantee prevention of burglary, fire, or other emergencies. Our services are designed to reduce risk and provide rapid response notification, but cannot eliminate all potential losses or damages.
As a customer, you agree to:
CMS Security offers month-to-month monitoring services with no long-term contract requirements. You may cancel your monitoring service at any time with 30 days written notice.
Monitoring fees are billed monthly in advance. Payment is due upon receipt of invoice. We accept major credit cards, debit, and pre-authorized bank withdrawals. Late payments may be subject to service suspension and applicable late fees.
We reserve the right to adjust pricing with 30 days advance written notice. If you do not accept a price change, you may cancel your service without penalty before the new pricing takes effect.
You are responsible for preventing false alarms and for any fines or fees imposed by local authorities for false alarm dispatches. Many municipalities have false alarm reduction programs that may result in fines after multiple false alarms.
To help reduce false alarms, we recommend regular system testing, proper user training, and prompt maintenance of malfunctioning equipment. We may implement alarm verification procedures, including call-back verification before dispatch.
You acknowledge and agree that CMS Security is not an insurer. The payments made for monitoring services are based on the value of the services provided, not the value of your property or potential losses. Security systems may fail to operate as intended due to various factors beyond our control, including but not limited to:
In the event of any claim arising from our services, our total liability shall not exceed the greater of: (a) the total amount of monitoring fees paid by you in the twelve (12) months preceding the claim, or (b) $500 CAD.
In no event shall CMS Security be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, regardless of the cause of action or theory of liability.
You agree to indemnify, defend, and hold harmless CMS Security, its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any false alarm dispatches or associated penalties.
We strongly recommend that you maintain appropriate insurance coverage for your property and liability. Our monitoring service is designed to complement, not replace, adequate insurance coverage. Many insurance companies offer discounts for professionally monitored security systems.
We may suspend or terminate your service if you: fail to pay amounts due; violate these Terms; provide false information; abuse our staff or services; or if continued service poses a risk to safety or our operations.
You may cancel monitoring services at any time with 30 days written notice. Upon cancellation, you remain responsible for any amounts owed through the end of the notice period. Equipment you have purchased remains your property.
All content on our website, including text, graphics, logos, images, and software, is the property of CMS Security or our licensors and is protected by Canadian and international copyright laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from these Terms or our services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to mediation before pursuing other legal remedies. Any legal proceedings shall be conducted in the courts of British Columbia.
These Terms, together with your signed service agreement and our Privacy Policy, constitute the entire agreement between you and CMS Security regarding our services.
We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets.
